Recycling Lives (Preston) Limited is a Charitable Company limited by Guarantee, number 05781363, and also a Registered Charity, number 1116562.
Its primary charitable purposes are the relief of financial hardship, homelessness, unemployment and poverty, and other associated charitable activities set out in paragraph 3 of its Memorandum & Articles of Association. It is managed by its board of Directors/Trustees and complies with UK Company Law and Charity Law, at all times wholly responsible and accountable for delivery of the charity’s vision and objectives.
The minimum number of directors/trustees will be 3 and the maximum 12. Directors/Trustees will be required to retire on rotation every three years. The current Directors/Trustees are:
Sub-committees take oversight responsibility for implementation of each of the key elements of the strategic plan, and membership of these committees comes from the board of directors/trustees and other partners and stakeholders. They advise the directors/trustees on the following strategic areas:
Recycling Lives Limited is an associate company limited by shares, number 05664702, and it will own and manage the business of collecting, processing and selling recyclable materials. During the undertaking of this business Recycling Lives will offer work and training opportunities to residents of the charity, for which the charity will be remunerated at a rate equivalent to almost twice the National Minimum Wage.
Recycling Lives Limited will grant a 25-year lease to Recycling Lives (Preston) Limited for occupation of the first and second floors of the Recycling Lives building at a discounted rent, for providing accommodation to residents for the activities of the charity, mentoring, training and skills development.
Recycling Lives Limited has a binding and continuing contractual agreement with Recycling Lives (Preston) Limited to underwrite any and all annual revenue deficits that may arise as a result of the undertaking of the charity’s activities, in order to assure the continuance of the charity and its charitable objectives. Annual Revenue Surpluses generated by Recycling Lives (Preston) Limited will be retained by the charity and utilised in further developing the charity for its objectives. First call upon the surpluses generated by Recycling Lives Limited will therefore be the sustainability of the charity. Thereafter Recycling Lives Limited will utilise its further surpluses for the establishment of other similar centres and charitable companies around the country.
Service Level Agreements will be entered into between Recycling Lives Limited and Recycling Lives (Preston) Limited for the provision of cross-functional services as appropriate, and the provision of skills training opportunities and programmes for the residents of Recycling Lives (Preston) Limited for which Recycling Lives Limited may be required to take responsibility.
